CONSTITUTION

 

ARTICLE I

NAME

  • Section 1.

    The name of this voluntary association shall be the Mid-States Association of College Stores herein referred to as MSACS.  The association shall represent the four-state region of Iowa, Kansas, Missouri, and Nebraska.

  • Section 2.

    The principle office of MSACS shall be located at the office of the Treasurer. Mailing address may be different than that of the principle officer.

    ARTICLE II

    PURPOSE

  • Section 1.

     The purpose of MSACS shall be:

    A. To unite those persons actually engaged in the retail sale of books, supplies and/or merchandise to the educational community of Mid-States collegiate institutions regardless of size or affiliation with the institution.

    B. To foster effective communication and a fraternal and cooperative spirit among its membership.

    C. To assist college store managers and personnel in their efforts to more effectively serve their respective colleges and to share ideas and information among all members.

  • Section 2.

    MSACS is not organized for pecuniary profits and no dividends or distribution of property of MSACS shall be made until all debts are fully paid, and then only upon its final dissolution.  Should dissolution occur, it shall be the responsibility of other Board of Trustees for distribution of any remaining funds.

    ARTICLE III

    MEMBERS

  • Section 1.

    A. Store members shall be those stores who have paid current dues and are directly engaged in the business of selling, at retail, educational materials and/or other products and services to the educational community.

    B. Associate Members shall be those firms who have paid current dues and are in the business of publishing, manufacturing and/or distributing products and/or services purchased and/or used by Store Members. A firm must be an Associate member to exhibit at trade shows.

    C. Honorary Life Members shall be those individuals who have given outstanding service to MSACS and are specifically granted such membership by the Board of Trustees.

    Section 2.

     

    A. Store and Associate Members shall have one vote on MSACS business.  The manager/director, chief executive, or other designated representative to the Association may vote on matters affecting the Association.

    Section 3.

     

    A. All applicants for membership should complete and submit the application form for membership and must submit required dues and fees to the Treasurer to be considered a member of the MSACS. Applicants shall indicate on the application form the representative and address of record.

  • Section 4.

    A. Any member may be expelled for adequate reasons by a majority vote of the Board of Trustees.  Failure to pay dues or to meet the criteria for membership is presumed to be adequate reason for expulsion and does not require advance notice to the member or deliberation vote by the Trustees.  Any member proposed for expulsion for any reason other than non-payment of dues shall be given advance written notice, including the reason (s) for the proposed expulsion in writing to the Board of Trustees within sixty (60) days from the date of notification.  Final written notice of the Board's decision will be sent within thirty (30) days after Board action.

  • ARTICLE IV

    FISCAL YEAR

  • Section 1.

    A. The fiscal year of MSACS shall be from July 1, through the following June 30.

    ARTICLE V

    ASSOCIATION PUBLICATION

    The official publication of MSACS shall be its quarterly newsletter.

    ARTICLE VI

  • Section 1.

    The Officers of MSACS shall be:

    All members shall be current and in good standing of MSACS.  President, President-Elect, Secretary, Treasurer and Immediate Past-President shall be bookstore members and Associate Vice-President and the Associate Coordinator shall be an associate member.

  • Section 2.

    There shall be four bookstore trustees, one from each state, who are members in good standing of MSACS, and two Associate trustees, who are members in good standing of MSACS to be elected at large.

  • Section 3.

    These officers and trustees shall perform the duties prescribed by this Constitution by the parliamentary authority adopted by MSACS.

  • Section 4.

    Officers and Trustees will be elected at the Spring meeting. New officers and trustees take the oath of office and begin their term at that time.  The term of office for the officers and trustees shall be two years. The term of the trustees shall be staggered.  Trustees from Kansas and Iowa will change on the even years and the trustees from Nebraska and Missouri on the odd years.  Associate Trustees will change on the even years.

    ARTICLE VII

  • Section 1.

    The Board of Trustees shall consist of

    All of the officers and trustees shall be voting members.

  • Section 3.

    Five members of the Board of Trustees will constitute a quorum of the Board of Trustees at any regular or special meeting.

  • Section 4.

    In the event of a vacancy of any office of MSACS, the President shall have the power to fill same by appointment until expiration of that term.

  • Section 5.

    In the event the office of the President becomes vacant, the President-Elect shall assume the office until the term ends.

    ARTICLE VIII

  • Section 1.

     General membership meetings of MSACS shall be determined by the Board of Trustees.

  • Section 2.

    Special meetings of the Board of Trustees, committees, or MSACS may be called by the President at a time and place best suited to conduct business.

  • Section 3.

    Those members attending any meeting of MSACS shall constitute a quorum.  Should unusual circumstances (i.e. adverse weather) cause attendance to be small, the Board of Trustees reserves the right to cancel the meeting.

    ARTICLE IX

    PARLIAMENTARY AUTHORITY

    The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern MSACS.

    ARTICLE X

    AMENDMENTS

  • Section 1.

    A. Upon proposal by the Board of Trustees, amendments to the Constitution of MSACS shall be presented in writing to the entire membership at least 30 days in advance of a vote. This can be accomplished with a newsletter presentation or a separate mailing to the last recorded address. A two-thirds majority vote of the members in attendance at the meeting, or through mail vote in accordance with the provisions of Article XI, will be needed for approval.

    ARTICLE XI

  • Section 1.

    A. Voting on any matter, including the election of officers and trustees, may be conducted by postal and/or electronic means. All matters, when voting by postal and or electronic means, shall be determined by a simple majority vote of the ballots cast by MSACS members, except in consideration of an amendment to the Constitution.  Amendments to the Constitution shall require a two-thirds (2/3) majority of the votes cast.  Such ballots shall be returned to the Secretary of the Association for tabulation.  The results of the vote shall be reported to the President, who in turn shall report the same to the membership within a reasonable time, not to exceed the next published newsletter.  Members shall be given at least 30 days in which to return a postal or electronic ballot and must be informed of the last date on which their vote must be received to be counted.

    BY-LAWS

    ARTICLE 1

    DUTIES OF OFFICERS

  • Section 1.

    Board of Trustees. It shall be the duty of the Board of Trustees to have general supervision over the affairs of MSACS and in determining the policies thereof. Trustees shall be prepared to perform a special assignment as required by the President or Executive Committee.

    Associate Vice-President. It shall be the duty of the office to represent the Associate Members on the Board of Trustees.  The Associate Vice-President will be the principal liaison officer between the Associate members and MSACS. (2 year term)

  • Section 7.

    Associate Coordinator. It shall be the duty of this office to represent the Associates on the Board of Trustees and to coordinate table assignments at product and tabletop shows.  The Associate Coordinator serves as a member of the Conference Committee. (2 year term)

  • Section 8.

    State and Associate Trustees.  It shall be the duty of this office to participate in general supervision over the affairs of MSACS and in determining the policies thereof. These Trustees shall be prepared to perform any special assignment as required by the President or Executive Committee. (2 year term)

    ARTICLE II

    COMMITTEES

  • Section 1. Standing Committees

    A. Conference Committee. This committee shall consist of the Conference Chair, Current, Past and Future meeting Hosts, Marketing Chair, and the Education Chair. It will be responsible for the planning and supervising of the programming of meetings sponsored by MSACS. The Conference Chair is appointed for a three-year term.

    B. Education. This committee shall be responsible for the planning and supervising of the educational programs for MSACS. (2 year term)

    C. Executive.  Shall consist of the President, President-Elect and Treasurer. It shall be the duty of this committee to transact MSACS business between regularly scheduled meetings and shall make a report at the next Board meeting. (2 year term)

     D. Marketing. This committee shall be responsible for the planning, developing, supervising and distribution of promotional materials (2 year term)

    E. Membership. This committee shall be composed of at least one member from each state and shall be responsible for contacting all eligible prospective members. Assists with registration at the Spring and Fall meetings. (2 year term)

    F. Newsletter: This committee shall be responsible for the quarterly newsletter to the association. Each trustee is a contributing member to this committee. The Chair will be appointed to a two-year term.

    G. Nominating. This committee shall consist of five persons, one from each state, with the Immediate Past-President as chairperson. (2 year term)

    H. Recognition and Scholarship.  This committee shall submit its recommendations for recognition and scholarships to the Board of Trustees. It is responsible for the procurement and presentation of awards.  Its members will send letters of appreciation to immediate supervisors of those contributing to the success of the association. (2 year term)

  • Section 2.

    The committee chairs will be appointed by the President-Elect and approved by the Board of Trustees. Prior to assuming the Presidency, the President-Elect will select the committee chairs to be submitted to the Board of Trustees for approval.

  • Section 3.

    Any other Task Force considered necessary for MSACS shall be appointed by the President and approved by the Executive Committee.

    ARTICLE III

    DUES

  • Section 1.

    Dues shall be determined by the Board of and shall be payable on or before July 31 of each year.

    ARTICLE IV

  • Section 1.

    The by-laws of MSACS will be approved and/or amended by a majority vote of the Board of Trustees.
